Global law firm Hogan Lovells has advised TIM S.p.A. (the “Company”) on the structuring and finalising of a liability management exercise related to the Company and its subsidiaries financial indebtedness towards commercial banks and anchor lenders, in the context of the sale by the Company of 100% of NetCo to Optics Bidco S.p.A, a special purpose vehicle controlled by KKR, for a value of approximately €22 billion.
The Hogan Lovells team that advised on the transaction was led by Italy managing partner Patrizio Messina and partner Alessandro Accrocca and included associate Edoardo Minnetti and trainee Noemi Biagini. Partner Madeleine Horrocks advised on the English law aspects of the transaction.
Teams of professionals from the London and New York offices of Hogan Lovells also contributed to the liability management transaction, for the legal aspects related to their respective jurisdictions.
