Herbert Smith Freehills advises HarbourVest Global Private Equity Limited on new US$1.2 billion multicurrency NAV-based revolving credit facility

Leading international law firm Herbert Smith Freehills has advised longstanding client HarbourVest Global Private Equity Limited (HVPE) on its new US$1.2 billion multicurrency NAV-based revolving credit facility (RCF).

HVPE is a listed company which invests in funds managed by HarbourVest Partners, giving its investors exposure to a diversified portfolio of private companies. HVPE’s new increased facility provides an enhanced level of support for its balance sheet, reflecting the growth in HVPE’s net assets to US$3.9 billion. The facility represents a new milestone in the NAV secondary market, with alternative lenders participating in a club alongside bank lenders.

The Herbert Smith Freehills team was led by partner Heather Culshaw supported by associates Will Beynon and Amaryllis Tian. Partner Gabrielle Wong, senior associate Chelsea Fish and associate Meenakshi Kurpad supported on the New York law side of the transaction.

Heather Culshaw commented: “We are delighted to have advised HVPE on its new and extended NAV-based revolving credit facility to support its continued growth. A unique transaction, due to its size and a substantial portion of the debt being provided by private debt funds, it showcases our expertise advising on private capital matters and is illustrative of the growth in appetite for NAV-based lending in European fund finance markets.“
