Dentons has advised mBank S.A. on a PLN 199 million (equivalent to €44 million) facility agreement with Enwind, a project company belonging to the TotalEnergies Group, to refinance the existing Głuchów I wind farm and finance the construction of a new Głuchów II wind farm. Both projects are located in central Poland and have a total capacity of 40 MW.
Dentons’ legal advice involved negotiating and participating in the execution of the finance documents as well as overviewing vendor due diligence and advising on renewable energy regulations. The financing is secured by a 15-year power purchase agreement (PPA) signed with Respect Energy as the off-taker.
The transaction was supervised by partner Piotr Nerwiński, Co-Head of the Banking and Finance practice, with the support of Justyna Jamroży (counsel), Małgorzata Czarnecka (associate) and Katarzyna Kaptur (associate).
