Global law firm Freshfields Bruckhaus Deringer (‘Freshfields’) has advised Unicredit on the change of the legal form of its German subsidiary from AG to GmbH, with the result that Unicredit Bank AG has become Unicredit Bank GmbH. Commercially, the bank continues to be referred to as Hypovereinsbank. With the legal form of AG being more suitable for listed entities, the reorganization as GmbH will facilitate governance in the banking group headed by Unicredit.
The Freshfields team was led by Partners Andreas Fabritius, Sabrina Kulenkamp (both Corporate/M&A) and Counsel Janina Heinz (Banking Regulatory) and included Principal Associates Xiao Zhang (Banking Regulatory), Nils Pelzer and Associate Rebecca Hettich (both Corporate/M&A, all Frankfurt).
