On December 4, 2023, HF Sinclair Corporation, a diversified energy company, announced the completion of the previously announced private offers to exchange any and all outstanding 6.375% Senior Notes due 2027 and 5.000% Senior Notes due 2028 issued by Holly Energy Partners, L.P. and Holly Energy Finance Corp. for new notes to be issued by HF Sinclair Corporation, with registration rights, and cash, and consent solicitations to adopt certain amendments to the indentures governing Holly Energy Partners, L.P. and Holly Energy Finance Corp.’s notes, commenced by the HF Sinclair Corporation on October 30, 2023.
