Clifford Chance has advised the Joint Global Coordinators and Joint Bookrunners on Aedifica’s EUR 380m capital increase by way of the issuance of new shares.
Aedifica is a Belgian healthcare real estate investment company listed on Euronext Brussels (2006) and Euronext Amsterdam (2019). Since March 2020, Aedifica is part of the BEL20, the leading share index of Euronext Brussels.
The transaction consisted of a public offering in Belgium and an exempt Private Placement of Scrips in certain jurisdictions with existing shareholders and new investors, who have subscribed for 100% of the New Shares offered for a total amount of approximately EUR 380 million.
Clifford Chance advised ABN AMRO (in cooperation with ODDO BHF in the context of the Private Placement of Scrips), BNP Paribas Fortis and Société Générale, who acted as Joint Global Coordinators and Joint Bookrunners, and Belfius Bank (in cooperation with Kepler Cheuvreux), Berenberg, ING Belgium, J.P. Morgan and KBC Securities, who acted as Joint Bookrunners in this transaction.
