DLA Piper has advised Raspadskaya, a Russian integrated group of coal mining and enrichment facilities, on the RUB67.7 billion (USD920 million) acquisition of Russian coal producer Yuzhkuzbassugol from EVRAZ, a global steel and mining company.
The deal is the second largest public M&A transaction in Russia in 2020 according to Mergermarket. It will lead to the creation of Russia’s largest and the world’s fifth largest coking coal company. It is heavily driven by requirements for public-companies and disclosure rules, including matters such as related party transactions, major transactions and the buy-out of minority shareholders.
