Job description
To ensure compliance under Companies Act 2013, Rules, Regulations
and other corporate law requirements under SEBI, FEMA, FDI, RBI etc. as and when applicable to ATIL.
To assist the Board in the conduct of the affairs of ATIL.
Advising on good governance practices
and compliance of corporate governance norms as prescribed under various corporate, securities and other
business laws and regulations and guidelines made thereunder by organising know how sessions for the
Board.
Arranging board/general meetings and preparing minutes thereof.
Create manuals on good corporate
governance, secretarial practices. Filing, registering any document including forms, returns and applications
by and on behalf of ATIL as an authorized representative with any statutory authority
Maintenance of
secretarial records, statutory books and registers
Drafting of POA, letter of authorizations etc. for
proper delegation of authorities.
Advising on structuring of current and future business, ECBs, FDI
regulations, formation of new companies, conversion of companies, allotment, consolidation, squeeze out
etc. as and when required.
Legal Support
Provide legal advices and supervision on compliance
of all statutory rules and regulations with regard to corporate governance.
Pro-actively undertake
statutory compliance initiates with regard to corporate governance
Provide legal support on all sourcing
and procurement related agreements in India;
Advice on all corporate law matters
Litigation, arbitration
other dispute matters.
