Job description
Conduct client group trainings on broad range of legal and compliance issues impacting business and ensure Autodesk Code of Conduct is adhered to.
Support the channel eco-system comprising of Autodesk re-sellers and distributers.
Between 10-15 years of post-qualification experience, with some of that time spent working in-house with an MNC.
Provide legal support and counsel to a specified division, product group, region (India, Sri Lanka and Bangladesh) and/or function.
Provides day-to-day legal advice to all client group employees on a variety of complex and strategic matters including contractual obligations, departmental and company-wide policies and procedures, intellectual property, marketing, sales, licensing models subsidiary governance, employment, finance, operations and other topics.
Structure, draft and negotiate a broad variety of contracts and other transactions for the client group. Develops contract policy, process and templates where appropriate.
Participates in strategizing from concept stage in business initiatives including channel partner programs, marketing and promotional campaigns.
Capable of advising marketing team on all consumer law and competition law aspects related marketing activities. Review all artwork, collaterals, electronic emails, advertisements and any other out-going material with scrutiny and legal awareness.
Support marketing and education team on successfully executing industry events.
Review all public relations documents including press releases, advertorials, TV commentaries etc.
Support the Government business team to seamlessly carry out day to day business, keeping in mind Autodesk business conduct policies and external regulatory policies of a US company.
Review and negotiate government tenders. Rate contracts etc.
Conduct compliance trainings with Govt sales team from time to time.
Advise and create awareness amongst client groups including channel eco-system on navigating through anti-competition and anti-trust legal risks and issues.
Should be capable of providing active legal support to the sales organization and other sales initiatives, including direct and indirect sales programs and commercial practices.
Actively supports license compliance programs and initiatives. Draft and send C&D notices to companies infringing Autodesk IP. Negotiate and enter into settlements with parties engages in IP infringing conduct. Review, recommend and manage appropriate enforcement actions/litigation. Actively support and strategically advise on litigation along with external counsels.
Drive continuous improvement in sales deal processes.
Will be a member of the client group’s management team, responsible for playing a business partner role and building a trusted advisor relationship.
May draft and negotiate intellectual property license agreements for IP assets and company products and be responsible for protecting company intellectual property rights.
Supports compliance related matters
Collaborates with legal staff and Autodesk leadership to develop and execute policies and procedures.
Advises client groups on adherence to current law, regulatory environment and Autodesk corporate policies.
Develops relevant training materials and present to groups.
Communicates new laws or policy as required, addressing potential opportunities, implications and risks.
Assist in drafting HR related policies.
Manages and interact swith outside counsel on a broad range of legal issues.
Provides legal support for some or all aspects of mergers, acquisitions, and strategic relationships, e.g. pipeline and planning stages through integration.
Supports company product portfolio including product development, engineering, marketing, and inbound licensing end user license agreement strategy.
Performs all company secretarial function. Should be familiar with the Companies Act.
Works in conjunction with APAC finance and tax team on subsidiary governance.
Be an active member of APAC and world-wide legal teams.
Pro-actively participate in legal team projects from time to time.
May be a member or leader of any legal subject/ practice group within Autodesk’s legal team.
Over time, has the potential to undertake certain APAC wide legal responsibilities.

Strong legal drafting skills. Familiar with licensing contracts, anti-competition and anti-trust laws, IP litigation, US export compliance, Companies Act, consumer law, civil and criminal code, marketing and advertisement related laws.
Should be comfortable with multi-tasking and ability to operate and manage a demanding client group.
Comfortable with creating power point presentations and training internal and external stake-holders on various legal issues.
High cultural navigability.
Willingness to travel domestically and abroad.
Law degree from a recognized university.
LLM desirable but no mandatory.
CS degree desirable but not mandatory.
