Support land acquisition activities including identifying risk relating to land transactions, reviewing land due diligence reports, operational retail business activities, lubes supply and marketing activities including supply chain issues.
General legal support including participation in contract negotiations required by Contracting & Procurement (CP) Sourcing and Operations team, support and delivery of the CP Strategy, deliver training to the P&T business on specific legal areas, employment matters, anti-bribery/anti-trust compliance & training and related supportDealing with general legal issues relating to day to day activities of a corporate entity.
The candidate must be a qualified Indian lawyer and an Associate Company Secretary (ACS) registered with the Institute of Company Secretaries of India (ICSI). This role will be split broadly on a 5050 basis between P&T and Downstream and the role would require alignment with P&T focals besides DS stakeholders.
Find practical, cost effective and legally sound and creative solutions and options for achieving the business objectives within acceptable legal constraints.
Conduct all corporate secretarial activities and undertake compliance required under applicable Company Law and Foreign Exchange Management Act besides keeping track of changing laws.
Work largely independently but under supervision of more senior legal counsel.Accountabilities and reporting shall be to Head of Legal/Managing Counsel for DS India, with a dotted reporting line to the Managing Counsel for P&T Asia.
Shell India legal work shall be allocated among India Legal team members on the basis of requirement of the work and competence/experience/expertise of the India Legal Team members.
Ensure documents reflect accurately commercial decisions at all times consistent with legal obligations and the Shell Control Framework.Represent Shell vis-à-vis third parties and as per requirement, manage or coordinate legal services and external counsels in India.Ability to work as part of a team and with both internal and external stakeholders with diverse cultural backgrounds.
Deliver training(s) to concerned businesses and functions in specific legal areas of concern as per Shell group requirements.Proactively identify legal risks and alternative strategies in a defined area.
Contribute to the Future Legal II strategic intent and focus on operational excellence and driving sustainable culture of change.Requirements A law degree with strong academic background and minimum of 6-8 years post-qualification blended experience of working in corporate/commercial law firms and legal department of corporates as company secretary and lawyer, with a focus on real estate matters. Litigation experience is desirable but not mandatory.Qualified member of ICSI.A good understanding of business drivers and a commercial approach to risk management.Excellent drafting and negotiating skills.Fluent written and spoken English.Ability to work with stakeholders with diverse cultural backgrounds and to build good relationships with colleagues at all levels.Excellent verbal and written communication skills, particularly in clearly explaining legal concepts and issues to non-lawyers.Flexible, creative and practical approach to legal problem solving within acceptable legal and risk frameworks.Company Description Shell began operations in India more than 80 years ago.
